NEW YORK (Reuters) - Law firm Dewey & LeBoeuf notified U.S. attorneys and staff on Friday that they could face mass layoffs, in the starkest sign yet that Dewey could be on the verge of collapse.
"Although we continue to pursue various avenues, it is possible that adverse developments could ultimately result in the closure of the firm, which would result in the termination of your employment," the firm said in a letter to employees that was obtained by Reuters.
Angelo Kakolyris, a spokesman for the firm, declined to comment.
The firm issued the notification under a federal law known as the WARN Act and similar state laws that require employers to notify workers of mass layoffs in advance. The federal WARN Act requires employers with 100-plus employees to give them 60 days' notice, while New York's WARN Act requires employers with 50 or more workers to give at least 90 days' notice.
Dewey & LeBoeuf, once one of the biggest law firms in the United States, has been struggling this year with growing debt, declining revenue and partner defections, which continued unabated on Friday.
Since January, the firm has lost at least 120 of its 300 partners amid a mounting debt crisis. It has tried and failed to find a merger partner.
Employees leaving Dewey's offices in midtown New York on Friday declined to talk to a reporter. Workers from a local moving company called Moishe's loaded about two dozen boxes labeled Dewey & LeBoeuf early on Friday evening before driving away.
A Facebook site set up to help Dewey attorneys and staff find jobs grew to 220 members on Friday afternoon.
Earlier on Friday, another source close to the situation said that Dewey & LeBoeuf had dismissed Executive Director Stephen DiCarmine within the last week. DiCarmine has retained a prominent criminal defense lawyer, the source said.
Last week, the firm informed its partners that the New York District Attorney launched an investigation into allegations of wrongdoing by former Chairman Steven Davis.
No allegations of wrongdoing have been brought against DiCarmine. The reasons for his termination couldn't be determined. Davis has denied any wrongdoing and DiCarmine did not return phone calls seeking comment.
DiCarmine has hired Edward Little, a former federal prosecutor in Manhattan, according to the source, who declined to be named due to the sensitivity of the matter. Little, a partner at law firm Hughes Hubbard & Reed, declined to comment on whether he had been hired in connection with the DA probe.
Defections from the firm decimated its overseas offices on Friday, with a wave of departures in Britain, Germany, Kazakhstan, UAE and Russia.
Dewey's options could include an out-of-court wind-down or a bankruptcy, whether voluntary or forced by its creditors, bankruptcy experts said.
Earlier this week, Dewey denied any plans to file for bankruptcy. Industry experts say a filing would be expensive and unlikely to salvage the firm, but could provide an efficient legal framework for Dewey to collect receivables from departed partners.
People who are owed money by Dewey have already begun seeking to sell their claims to third parties on a secondary market at a heavy discount, said Kevin Starke, a bankruptcy analyst with CRT Capital Group, a brokerage that specializes in distressed securities.
When businesses are insolvent or close to it, their stakeholders, fearing they will not be paid fully or on time, commonly sell their claims at a discount to institutional buyers in an effort to recover some money.
In Dewey's case, sellers will likely include trade vendors, suppliers and other service providers who may have receivables against the firm, Starke said.
"A market for receivables is shaping up around 10-to-15 cents on the dollar," he said.

A former lobbyist and assistant secretary of the U.S. Treasury under President George W. Bush, Weinberger will succeed Jim Turley, who announced previously that he would retire on June 30, 2013, Ernst & Young said in a statement on Tuesday.
Weinberger's public policy experience is unusual for the head of a global audit firm, said Arvind Hickman, editor of the International Accounting Bulleting.
"I can't think of too many global chiefs who have had a distinguished career in government. Normally they go the other way, from the profession into high positions in the public and private sectors," he said.
Weinberger will be taking over at a crucial time for the audit profession, which is under scrutiny from regulators in the United States and Europe for auditors' performance during the 2007-2009 financial crisis, when they failed to warn of problems at major banks that collapsed.
The main U.S. auditor watchdog, the Public Company Accounting Oversight Board, is considering whether to require audit firm rotation, a measure vehemently opposed by the audit industry, along with several other reforms. Rotation would force major companies to change auditors periodically. Many have the same accounting firms working for them for decades.
The European Union also is mulling proposals that could force the largest audit firms to split off their consulting businesses, as well as auditor rotation.
LEGAL CONCERNS
Ernst & Young is facing a lawsuit by the New York Attorney General over its audits of failed bank Lehman Brothers and an official review of its audits of Japan's Olympus Corp <7733.T>. An unofficial panel cleared Ernst & Young of responsibility for an accounting fraud at Olympus on Tuesday.
"One of his first tasks will be guiding the network through this period of turmoil and any potential punitive and reputational damage," Hickman said.
Weinberger, 50, co-founded Washington Counsel, a leading tax lobbying firm that was bought by Ernst & Young in 2000 and now operates as Washington Council Ernst & Young. He runs Ernst & Young's global tax practice and serves on the firm's global markets executive and public policy committees.
"Mark has a regulatory mindset, which will ensure Ernst & Young maintains strong connections with the many audit regulators and other officials with whom we engage globally," Turley said in a statement.
During President Bill Clinton's administration, Weinberger was named to the Social Security Advisory Board and has worked in the U.S. Senate on tax policy and pension advisory committees.
His experience as a lobbyist covered a wide array of industries. During 2000, the year Ernst & Young bought the firm he co-founded, he was registered as an active lobbyist for about 70 corporations, trade associations and other entities, according to congressional records.
The clients included insurer Aetna Inc
Weinberger was also a lobbyist for several tax-related business coalitions, such as one in favor of the research-and-development tax credit and another for defense contractors.
He had curtailed his lobbying by the end of 2001 and has not registered as a lobbyist since 2005, records show.

In a rare media briefing by a hedge fund manager in Hong Kong, the industry veteran said he expected to raise $2 billion by June 2012 after which he would close his fund to investors.
Huttenlocher received an asset management license on Friday to start operations in Hong Kong, the Securities and Futures Commission (SFC) website showed on Sunday.
The license for Huttenlocher's much-anticipated hedge fund company, Myriad Asset Management, had been delayed because of a review by the regulator after an anonymous complaint.
"We decided to get going right away," Huttenlocher, who quit Highbridge Capital in March, told reporters.
"It's probably the longest I have gone without investing in a long time," said the hedge fund manager, who managed Highbridge's Asia-focused fund, which once had about $2 billion in assets under management.
Huttenlocher is launching Myriad Opportunities Master Fund Ltd, a multi-strategy hedge fund with a focus on the Asia Pacific region and asset classes such as equities, convertibles, credit and corporate bonds.
Huttenlocher has picked Credit Suisse Group AG
Prime brokers provide services such as clearing trades and lending money to hedge funds.

James Brown, the former banker, alleged the government violated his right to due process by withholding evidence that could have exonerated him.
But a three-judge panel of the 5th U.S. Circuit Court of Appeals in New Orleans said the evidence at best might have marginally helped Brown and would not likely have changed the result.
Sidney Powell, a lawyer for Brown, said she plans to appeal Friday's decision to the entire 5th Circuit.
"Brown is innocent and the government hid evidence that proved that he was innocent," she said.
A jury had convicted Brown and other Merrill bankers in 2004 of helping Enron in 1999 engineer a sham sale of the barges to help the energy trader meet analysts' fourth-quarter earnings forecasts.
Prosecutors said Enron disguised a $7 million loan as sale proceeds, while secretly promising it would within six months buy back the barges, located off Nigeria's coast.
Brown served one year in prison before being released. The 5th Circuit previously overturned his conviction on fraud and conspiracy charges.
In his appeal of the obstruction and perjury counts, Brown said the government should have produced evidence, including FBI notes from an interview with former Chief Financial Officer Andrew Fastow, and Senate investigators' notes from an interview with former Treasurer Jeffrey McMahon.
But the 5th Circuit said some of the evidence in fact helped the government's case, while other evidence would have had little impact.
"The favorable evidence that Brown points to is not, even cumulatively, sufficient to give us a definite and firm conviction that it establishes a substantial probability of a different outcome," Circuit Judge Jerry Smith wrote for the court. "There was considerable evidence of Brown's guilt."
Enron filed for bankruptcy on December 2, 2001.
The case is U.S. v. Brown, 5th U.S. Circuit Court of Appeals, No. 10-20621.
